JAKARTA, PERKARANEWS.COM – Persidangan perkara tindak pidana korupsi yang menjerat mantan petinggi PT ASDP Ferry (Persero), yaitu Ira Puspadewi (mantan Direktur Utama), Harry Muhammad Adhi Caksono (Direktur Perencanaan dan Pengembangan 2020–2024), serta Muhammad Yusuf Hadi (Direktur Komersial dan Pelayanan 2019–2024), kembali digelar di Pengadilan Tipikor Jakarta Pusat, Kamis (18/9/2025).
Para terdakwa didakwa merugikan keuangan negara sebesar Rp1,25 triliun terkait akuisisi PT Jembatan Nusantara (JN) pada 2019–2022.
Kerugian tersebut antara lain berasal dari pembayaran akuisisi saham PT JN senilai Rp 892 miliar, pembelian 11 kapal afiliasi PT JN sebesar Rp 380 miliar, serta pembayaran bersih kepada pemilik dan afiliasi PT JN senilai Rp 1,27 triliun.
Dalam perkara ini Jaksa menilai, para terdakwa melakukan modus dengan mengubah surat keputusan direksi serta meneken perjanjian kerja sama pengoperasian kapal dengan PT JN tanpa persetujuan dewan komisaris dan tanpa mempertimbangkan kajian risiko.
Sidang dengan nomor perkara 68/Pid.Sus-TPK/2025/PN.Jkt ini dipimpin oleh Ketua Majelis Hakim Sunoto, SH. Agenda hari ini menghadirkan dua orang saksi, yakni Junia Satriawan (Direktur Keuangan, IT, dan Risiko) dan Alwi (Corporate Planning).
Penasihat hukum terdakwaIra Puspadewi, Gunadi Wibakso menilai keterangan para saksi yang hadir pada persidangan justru menguatkan fakta bahwa langkah akuisisi PT JN oleh ASDP dilakukan secara sah, terencana, dan berdasarkan kajian profesional.
“Dari hasil pemeriksaan sore ini, keterangan saksi justru melengkapi fakta yang telah terungkap sebelumnya. Bahwa akuisisi maupun kerja sama usaha dilaksanakan atas dasar Rencana Jangka Panjang Perusahaan (RJP) yang sudah ada jauh hari, serta diperkuat dengan rencana kerja tahunan,” ujar Gunadi kepada redaksi usai sidang.
Ia menegaskan bahwa setiap langkah akuisisi diawali kajian konsultan yang berkompeten.
“Hasil kajian itu yang dijadikan dasar oleh direksi untuk menentukan aksi korporasi. Akuisisi ini adalah langkah investasi, hasilnya tentu tidak bisa dilihat instan, tapi jangka panjang,” imbuhhnya.
Menurut Gunadi, akuisisi PT JN justru memperbesar kekuatan armada ASDP dan sejalan dengan penugasan pemerintah.
“Dengan akuisisi ini, ASDP menguasai 100 % saham PT JN yang merupakan perusahaan penyeberangan terbesar kedua. Armada ASDP jadi jauh lebih besar, sehingga bisa menunjang penugasan pemerintah dalam melayani lintasan perintis, masyarakat terpencil, hingga mendukung logistik, pendidikan, dan kesehatan,” jelasnya.
Gunadi juga menekankan, hasil komersial dari akuisisi digunakan untuk membiayai lintasan kritis serta memberi dividen bagi negara.
“Ini bukan keputusan parsial. Ada persetujuan direksi, komisaris, hingga pemegang saham yang dalam hal ini negara. Jadi ini langkah strategis, bukan pelanggaran,” tegas Gunadi.
Lebih lanjut, Gunadi juga membantah adanya indikasi konflik kepentingan atau penerimaan keuntungan pribadi dari proses akuisisi.
“Dari saksi-saksi yang sudah diperiksa, kami selalu tanyakan, apakah ada yang menerima sesuatu? Apakah ada conflict of interest? Semua menjawab tidak ada. Bahkan pemilik PT JN sendiri, Pak Adjie, mengatakan tidak pernah memberikan apa pun. Semua murni untuk kepentingan ASDP,” ungkap Gunadi.
Gunadi juga mengatakan, bahwa pihaknya memastikan akan menghadirkan ahli keuangan, teknis, dan hukum korporasi untuk memperkuat pembelaan.
“Kami akan buktikan bahwa langkah ini sesuai best practice bisnis. Dalam dunia bisnis, hasilnya hanya tiga: untung, rugi, atau impas. Selama semua proses dijalankan berdasarkan kajian rasional dan objektif, tidak ada pelanggaran hukum. Ini murni aksi korporasi, bukan tindak pidana,” tutup Gunadi. (Yuko)
